Terms of use
Terms
What you are buying, what you cannot expect from it, and how to get a refund.
This is a translation, provided for convenience. The binding version of this agreement is the French one, at offra.ca/conditions. Where the two differ, the French text governs.
In effect as of October 31, 2026.
Who you are contracting with
Offra is the trading name of Consuly Pte. Ltd., 68 Circular Road, #02-01, Singapore 049422. That company sells you the subscription, invoices you, and is the party these terms bind you to.
The seller is not resident in Canada. It is registered under the simplified GST/HST regime for non-resident suppliers of digital services, and separately for QST in Quebec — which is what explains the tax treatment described below.
Offra is offered to businesses, for professional use. By subscribing, you declare that you are acting on behalf of a business.
What you are buying
Access to Offra, free or by subscription, and the submissions you prepare in it: the catalogue of open public tenders, the analysis of the ones that interest you, and the tools to prepare your bids. A tender's analysis covers the notice and your company.
- Access is in your workspace. What you produce there is visible to the members of your workspace. Members of our team, authenticated with a second factor, may also access it for support, security or billing.
- An analysis that has been produced is never altered afterwards. It holds for one moment — the day you decide. If new information is published it arrives as a new version. Earlier versions are kept exactly as they were, and we hand them over on request.
- The analysis evolves. Write to us and we re-run it for as long as the notice is open. Once the contract is awarded, the real outcome is added to it.
- The price estimate is experimental, and is not provided on every notice. It appears only in the Price tab, and it is not a price to submit. Where the buyer publishes neither an estimate nor usable tender documents, we show none: the analysis says so and shows comparable contracts instead. The share of notices affected is published on the accuracy page.
- You get a right of use, not ownership of the analyses. That right is non-exclusive and serves your company's bidding decisions — yours and those of the members of your workspace. What you upload stays yours: see below.
The plans
Two paid plans, per company, and a free account. The paid plans do not limit the number of users, and the analysis of every open tender is included in them, with no counter. What is counted is submissions.
- Intelligence. 119 $ per month with no commitment, or 1 188 $ per year (that is, 99 $ per month). It includes what serves to find and judge a tender: the feed scored for your company, the verdict, the competitors and their prices, and the other features described on the pricing page. No submission is included: each one costs 199 $. A new account gets the 14-day free trial described below.
- Pro. 359 $ per month with no commitment, or 3 588 $ per year (that is, 299 $ per month). Everything Intelligence includes, plus 12 submissions a year, as credits. A submission beyond the credits costs 149 $.
- On quotation. For a company that prepares more than about 60 submissions a year. Its particular terms are set in writing and prevail over these where they differ.
- Free account. 1 user. The catalogue of open tenders from all our sources, their requirements and dates, your bookmarks, and one saved search with its alert. No verdict and no analysis. A submission can be bought there one at a time, at 249 $, and your whole team can then join it.
- A submission covers one tender and its addenda. It includes the whole dossier — requirements and the compliance matrix, tasks, key dates, legal notes, drafted answers, the « Questions » assistant, the review before you file, the post-mortem — and the notice's report, for every member of your workspace you invite to it. Its price depends on the plan: 249 $ on the free account and during the free trial, 199 $ on Intelligence, 149 $ beyond Pro's credits. It is paid when you buy it, separately from the subscription.
- A submission you bought is never refunded, and it stays yours. Not with the first month, and not on cancellation. It stays readable for as long as your account exists, with or without a subscription. If preparing it fails, write to us and we will re-run it at no charge.
- Pro's credits are earned with each payment. On the annual rate, the year's 12 credits are granted on the first day of each subscription year; those left lapse at renewal. On the monthly rate, each month paid grants 1, valid for 12 months while the subscription is active. A credit is used for one submission, and the one expiring soonest is used first. A credit has no cash value.
- A tender's analysis is never counted. It runs in one click on any open notice, reopens without consuming anything, and is re-run at no charge if it fails; a daily limit protects the service against abnormal use.
- Cancellable at any time. A cycle you have started is not refunded, except Pro's first month described below. Cancellation is done in one click from the billing page. Access runs to the end of the cycle already paid for, then stops. On the annual plan that cycle is the whole year: it cancels the same way, but access — and payment — run to its renewal date, with no refund of the remaining months.
When a subscription ends, your workspace returns to the free account with nothing erased. What the free account does not include stops being accessible, but its content is kept: you find it again by subscribing again. Submissions you bought stay readable. You can also ask us for a copy of your content, or for its deletion.
Renewal, prices and payment
- The subscription renews automatically. At the end of each month or each year, until you cancel it. We write to you 30 days before an annual renewal and 7 days before a monthly one.
- A price increase is announced at least 60 days in advance. By email, with the new price and the exact date it applies to you. The price you paid holds for the whole period paid for: a new price applies only at a renewal, and you can cancel before that date at no cost.
- A declined payment does not cut access straight away. While Stripe retries the payment, your workspace stays open for 14 days. If the payment does not go through, access is suspended until the card is updated.
- Changing plans. Moving to a higher plan applies immediately, and the difference is charged pro rata. Moving to a lower plan takes effect at the end of the period paid for, with no credit.
Offers
- A 14-day free trial of Intelligence when an account opens, once per business. An account you open yourself, with your email address or with Google, starts with a 14-day free trial of Intelligence, at no charge. No card is requested. At the end of that period, your workspace returns to the free account unless you subscribe; nothing is charged automatically, and your data and the submissions you bought stay in your workspace. A given workspace and a given company are entitled to it once, even after the account is deleted: if the company linked to your workspace has already had it, the trial ends when that link is made. During the trial, a submission costs 249 $.
- A free period started at checkout before October 31, 2026 runs to its end. It remains under the terms in force when it began: on its end date the subscription continues at 119 $ per month, plus taxes, unless you cancel it before — in one click, from the billing page. We write to you 7 days before it ends. No new period of this kind is offered at checkout.
- Submissions given before October 16, 2026 remain yours. A submission activated under the former welcome offer stays yours for as long as the account exists; its artificial-intelligence features stay on until 30 days after the tender's closing date — 90 days after activation if the notice gives none — within reasonable use.
- Other offers. An offer may include a free period of access; its length, and whether a card is requested, are stated in it. If a card was provided, access becomes a paid subscription at the end unless cancelled before; otherwise it ends at no charge.
Your content
What you upload or write in Offra stays yours: documents, library, company profile, messages to the assistants. Uploading a document is optional; an analysis is produced entirely without one, from public data.
- You authorise us to use it, for you. By uploading content you grant us the right to store it, convert it to text and analyse it, for the sole purpose of providing you the service. That right is limited to that use: it does not let us resell it, publish it, or reuse it for another customer.
- It trains no model. Neither ours nor those of the artificial-intelligence providers that read it for us: we only use providers whose terms, or our settings with them, exclude it.
- You must have the right to upload it. You confirm to us that nothing you upload breaches a confidentiality agreement, a copyright or an obligation to a third party. We are not in a position to verify it.
Reading a document means sending it to the providers named in our privacy policy, which also states what a deletion erases.
What artificial intelligence produces
Part of the service is written by artificial-intelligence models: suggested answers, the compliance matrix and the severity of requirements, regulatory pointers, the dossier's “Bid or not” recommendation, summaries of your library, and the help assistant.
- It is a draft, not an answer. A model can be wrong, miss a requirement or misread a document. Review everything before you use it: what you file with a contracting authority is yours alone.
- What only your company can decide is left for you to fill in. A name, a date, a price: the answer leaves a blank rather than inventing it, and never writes in your price.
- This is not legal advice. Regulatory pointers and the severity of a requirement are indications, not an interpretation of the law or of the tender.
- The assistant may pause. After repeated messages that try to get around its rules, it blocks itself for a few minutes and alerts us; write to us if you think it was a mistake.
What this is not
- This is not professional advice. Not legal, not financial, not accounting advice. The decision to bid and the amount of your bid are entirely yours.
- A forecast is not a guarantee of outcome. Our estimates are probabilistic and we publish their measured error rate; some are often wrong, and the analysis says so right where it shows them. The detail is on the accuracy page.
- We see only what public sources publish. The notices and results released by the sources named below and, for some answers, a web search. Not your costs, not your capacity, and not the relationships formed outside the public process.
- The recommendation does not decide for you. On the notices we can score, it is a weighted rubric over five measured factors, displayed with its weights, which shows “insufficient signal” rather than deciding without data. In a dossier, the “Bid or not” recommendation is written by artificial intelligence, from your history and the analysis of your documents.
The service is therefore provided as is, with no warranty that the estimate will contain the winning price, that the competitors named will submit a bid, that the outcome will match the recommendation, or that what a model has written is accurate or complete. The error rates published in the analysis and on /precision are part of the product: they state how often it is wrong.
Liability
Our total liability, whatever the cause, is limited to the greater of two amounts: the sums you paid us in the 12 months before the event giving rise to it, or $100.
We are not liable for a contract lost, a contract won at a loss, a missed margin, lost profits, or any indirect damage arising from use of the service. That is the counterpart to the section above: we publish the error rates instead of hiding them, and the price of the subscription is not the price of insurance on a bid.
Nothing here excludes a liability that cannot be excluded at law, including in cases of gross or intentional fault.
Payment, taxes and refunds
The first month of Pro on the monthly rate is refundable, as long as no submission has been used. Cancel within 30 days of subscribing, without having used a submission credit, and that month is refunded in full, tax included; access ends immediately rather than at the end of the cycle. The same window lets you switch to the annual rate instead and have that month deducted. One or the other, not both.
On Intelligence, the free trial takes the place of a refund. It ends at no charge; the first paid month is not refunded. Within 30 days of that first payment, you can switch to the annual rate and have the month paid deducted.
Outside these cases — and on the annual plan, from the start — the subscription is not refunded pro rata: it is cancelled, and access runs to the end of the cycle already paid for. A submission you bought is not refunded either.
Applicable taxes are added to the displayed price and are calculated at payment time from your billing address. A registered business that supplies its GST and QST numbers self-assesses them.
Payment is processed by Stripe. Card numbers never pass through our servers, and none is stored with us.
Your account
- Sign-in is by password, by single-use link or, where the option is offered, with your Google account. An account is created free of charge: at sign-up, when you subscribe, or on a colleague's invitation. You are responsible for keeping your password confidential and for the access you give colleagues.
- You can have your account deleted, or obtain a copy of it. Write to confidentialite@offra.ca. If other members remain in your workspace, only your access is removed: the workspace and its content stay with them. The invoice and the record of the transaction are kept: we have accounting and tax obligations in respect of them.
Acceptable use
The contents of the service are for you and for the members of your workspace. Resale, systematic redistribution and automated extraction of the contents are not permitted — the underlying public data, by contrast, remains available to everyone from its sources.
Nor should you try to reach other customers' workspaces, circumvent access controls or the assistants' limits, or reconstruct the models from repeated queries.
Suspension and termination
We may suspend or withdraw access in the event of a breach of the section above, or of use that puts the service at risk for others. If we withdraw access without such a breach, we refund the unused share of the period already paid for — that is the only thing we owe you in that case.
You may stop using the service at any time. To stop receiving our emails, write to us or use the unsubscribe link in our messages: it is immediate and requires no sign-in.

Changes to these terms
A change takes effect when it is published on this page, with a new effective date. A change that is unfavourable to you applies to a subscription in progress only from its next renewal. A price increase also follows the notice described above. It is the same rule as for an analysis: what was sold to you does not change afterwards.
